CORPORATE ANNOUNCEMENT
Lagos, London, March 31, 2026: Guaranty Trust Holding Company plc ("GTCO" or
"the Company"), listed on both the Nigeran Exchange Limited (NGX) and the
London Stock Exchange (LSE), has announced a final dividend at a rate of
N11.76K per Ordinary Share of 50 Kobo {subject to appropriate Withholding Tax
(WHT)} to be paid to GTCO's shareholders whose names appear in the Register of
Members as at the close of business on April 13, 2026 for shareholders listed
on the NGX and April 7, 2026, for Depository Interests (DI) holders listed on
the LSE.
Period Ended December 31, 2025
Dividend Announcement Date March 31, 2026
Proposed Dividend A Final Dividend in the sum of N11.76K per Ordinary Share of 50 Kobo, subject
to appropriate withholding tax deduction and approval, will be paid to
Shareholders whose names appear in the Register of Shareholders as at the
close of business on April 13, 2026 for shareholders listed on the NGX and
April 7, 2026, for DI holders listed on the LSE (bringing total Dividend paid
for the 2025 Financial Year to N12.76K).
Proposed Bonus Nil
Closure of Register To enable GTCO's Registrars, Datamax Registrars Limited ("Datamax") and
Equiniti Limited, prepare for the payment of the Dividend, the Register of
Shareholders will be closed on April 14, 2026, for shareholders listed on the
NGX and April 8, 2026, for DI holders listed on the LSE.
Qualification Dates Close of business on:
i. April 13, 2026, for holders listed on the NGX;
ii. April 7, 2026 for DI holders listed on the LSE
Payment Date On April 28, 2026, dividend will be paid electronically to Shareholders
holding their shares on the NGX, whose names appear in the Register of
Shareholders as at April 13, 2026, who have completed the e-dividend
registration and mandated the Registrar to pay their dividends directly into
their Bank accounts.
For the Shareholders holding their shares through Depository Interests on the
LSE, dividend will be paid electronically to Shareholders whose names appear
in the Register of Shareholders as at April 7, 2026.
Dividend Currency The Dividend will be paid in Naira and United States Dollars (USD) only.
The default currency for the dividend will be as follows:
i. Shareholder holding their shares on the NGX will be paid in Naira;
ii. Shareholders holding their shares through Depository Interests on
the LSE will be paid in USD.
Determination of Exchange Rate The exchange rate for the USD amounts payable to shareholders holding their
shares through Depository Interests on the LSE will be determined by reference
to the relevant Naira/USD exchange rates which will be communicated by the
Company on April 30, 2026.
E-Dividend Registration Shareholders who are yet to complete the e-dividend registration are advised
to download the Registrar's E-Dividend Mandate Form

Unclaimed Dividend Warrants and Share Certificates Shareholders with dividend warrants and share certificates that have remained
unclaimed or are yet to be presented for payment or returned for validation
are advised to complete the e-dividend registration or contact the Registrar
at the address stated below.

at 10.00 a.m.
