Result of General Meeting

 

Hargreaves Services plc (AIM: HSP), a diversified group delivering services to
the environmental, infrastructure and property sectors, announces the results
of its General Meeting held at 9.00 a.m. (UK time) today at 1 Bartholomew
Lane, London EC2N 2AX. The resolution put to shareholders, as outlined in the
circular published on 27 March 2026 (the "Circular"), was a special resolution
to approve the Tender Offer (the "Resolution").

 

The Company announces that, following the conclusion of the General Meeting,
the Resolution was duly passed. Voting on the Resolution was conducted by way
of a poll.

 

The number of votes for and against the Resolution, as well as the number of
votes withheld, were as follows:

The Tender Offer closed at 1.00 p.m. (UK time) on 28 April 2026. The Company
expects to make a further announcement in respect of the results of the Tender
Offer on 30 April 2026.

 

Unless otherwise defined in this announcement, capitalised terms used in this
