HAYDALE GRAPHENE INDUSTRIES PLC

("Haydale" or the "Company")

Result of General Meeting

Haydale (AIM:HAYD), the global technology solutions group, is pleased to
announce that at the Company's General Meeting held earlier today, all
resolutions were duly passed.

The number of votes lodged by proxy for and against each of the resolutions
proposed, and the number of votes withheld, were as follows:

 1. Authority to subdivide every Ordinary Share of £0.02 each in the capital     379,153,990  99.16%  3,208,775      0.84%  301,097
 of the Company into one Ordinary Share of £0.001 each and one Deferred Share
 of £0.019 pence each
 2. Authority, subject to the passing of Resolution 1, to amend the articles of  379,112,917  99.16%  3,224,245      0.84%  326,700
 association of the Company accordingly
 3. To, subject to the passing of Resolutions 1 and 2, authorise the directors   379,096,357  99.14%  3,284,608      0.86%  282,897
 to allot shares in the capital of the Company for the purposes of the
 Fundraising
 4. To, subject to the passing of Resolutions 1, 2 and 3, disapply pre-emption   379,021,527  99.20%  3,053,928      0.80%  588,407
 rights in relation to the issue of New Ordinary Shares pursuant to the
 Fundraising

 

Votes withheld are not votes in law and so have not been included in the
calculation of the proportion of votes for and against a resolution.  Any
proxy appointments giving discretion to the Chairman have been included in the
"For" totals.

The Fundraising remains conditional upon Admission.

Defined terms in this announcement shall have the same meaning as set out in
the Company's circular dated 16 September 2023, available on the Company's

purposes of AIM Rule 26.
