HAYDALE GRAPHENE INDUSTRIES PLC

("Haydale" or the "Company")

Result of Open Offer

Haydale (AIM:HAYD), the global advanced materials group, announces that it has
received applications in respect of approximately £0.74 million through the
Open Offer which was announced on 23 August 2022, representing approximately
146 per cent. of the total amount offered under the Open Offer.

Accordingly, the Company has scaled back the excess applications received
under the Open Offer, and has therefore raised (conditional only on Admission)
total gross proceeds of approximately £5.51 million in aggregate by way of
the Placing, the Subscription (which was also announced on 23 August 2022) and
the Open Offer.

Application has been made to the London Stock Exchange for the admission of a
total of 275,516,784 New Ordinary Shares to trading on AIM. This comprises (i)
213,500,000 Placing Shares; (ii) 36,500,000 Subscription Shares and (iii)
25,516,784 Open Offer Shares. The New Ordinary Shares will rank pari passu
with the Existing Ordinary Shares. Admission of the Placing Shares,
Subscription Shares and Open Offer Shares will occur on 14 September 2022.
Following the close of the Open Offer, the Company will issue a total of
137,758,392 Warrants to the subscribers of New Ordinary Shares and a further
1,000,000 Warrants to finnCap.

 

Total Voting Rights

Following admission, the total number of Ordinary Shares in issue with voting
rights will be 785,852,475 Ordinary Shares and Shareholders may use this
figure as the denominator for the calculations by which they will determine if
they are required to notify their interest in, or change to their interest in,
the share capital of the Company under the FCA's Disclosure Guidance and
Transparency Rules.
