 * Expected that upon completion of the proposed acquisition, Ishine International will cease to be a subsidiary of the company 
 * Deal to acquire approximately 280 acres of farmland in regional Victoria,Australia 
 * Non wholly-owned unit has entered into a non-binding memorandum of understanding 
 * Deal consideration for proposed acquisition shall be satisfied by allotment and issue of consideration shares of Ishine International
