Sub: Board Meeting for approval of the unaudited financial results of Housing Development Finance Corporation Limited ('the Corporation') for the quarter/nine months ending December 31, 2019 and closure of trading window
 
We wish to inform you that a meeting of the Board of Directors of the Corporation is scheduled to be held on Monday, January 27, 2020 at its Corporate Office inter alia, to consider and approve the un-audited financial results (standalone) of the Corporation and the un-audited consolidated financial results, for the quarter/ nine months ending December 31, 2019, subject to limited review by the Statutory Auditors of the Corporation.
 
We further wish to inform you that at the said meeting, the Board of Directors of the Corporation would also consider the issuance of secured redeemable non-convertible debentures, in various tranches under a Shelf Disclosure Document, aggregating ` 45,000 crore on a private placement basis in accordance with the approval granted by the shareholders of the Corporation at the 42nd Annual General Meeting held on August 2, 2019.
 
The outcome of board meeting and the said results along with Limited Review Reports issued by the Statutory Auditors will be submitted to you, in accordance with the Listing Regulations.
 
We also wish to inform that the window for trading in the shares of the Corporation will be closed from Wednesday, January 1, 2020 and shall continue to remain closed up to Wednesday, January 29, 2020 (both days inclusive) for all the employees, designated employees and directors of the Corporation including their immediate relatives, in terms of the HDFC Share Dealing Code and the SEBI (Prohibition of Insider Trading) Regulations, 2015.
