Ref: Intimation under Regulations 29 and 50 of the SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015 ('Listing Regulations')

 

Sub: Board Meeting for approval of the un-audited financial results of Housing
Development Finance Corporation Limited ('the Corporation') for the quarter/
half-year ended September 30, 2022 and closure of trading window

 

We wish to inform you that a meeting of the Board of Directors of the
Corporation is scheduled to be held on Thursday, November 3, 2022 to inter
alia consider and approve the un-audited financial results (standalone) of the
Corporation and the un-audited consolidated financial results, for the
quarter/ half-year ended September 30, 2022, subject to limited review by the
Joint Statutory Auditors of the Corporation.

 

We further wish to inform you that at the said meeting, the Board of Directors
of the Corporation would also consider the issuance of secured redeemable
non-convertible debentures, in various tranches, under a Shelf Placement
Memorandum, aggregating ` 75,000 crore on a private placement basis, in
accordance with the approval granted by the shareholders of the Corporation at
the 45(th) Annual General Meeting held on June 30, 2022.

 

The outcome of board meeting and the said results along with Limited Review
Reports issued by the Statutory Auditors and other disclosures as required
under the Listing Regulations will be submitted to you, in accordance with the
said Regulations.

 

We also wish to inform that the window for trading in the Securities of the
Corporation has been closed with effect from Saturday, October 1, 2022 and
shall continue to remain closed up to Saturday, November 5, 2022 (both days
inclusive) for all the employees, designated employees and directors of the
Corporation including their immediate relatives, in terms of the HDFC
Securities Dealing Code and the SEBI (Prohibition of Insider Trading)
Regulations, 2015.
