Result of AGM and Board Changes

Hummingbird Resources plc (AIM: HUM) is pleased to announce that all
resolutions were duly passed at its Annual General Meeting held earlier today.

Further to the announcement on 27(th) May 2022, the Company also wishes to
announce the retirement of Russell King, as Non-Executive Chairman of the
Company, with effect from 29(th) June 2022.

Russell has been the Non-Executive Chairman of the Company since November
2014, and the Board wishes to extend their appreciation of Mr. King's
significant contribution to the Company during his tenure of office.

The Company has initiated a search for a suitable Chairman to guide and
support the next stage of the Company's growth and transition to a multi-mine
operation; accordingly as an interim measure, Daniel Betts, the CEO, will
assume the role of Interim Executive Chairman and CEO of the Company. Further
updates will be provided as and when appropriate.
