AMENDEMENT TO NOTICE OF ANNUAL GENERAL MEETING

 

The Company notes an error to RNS 12 May 2026 (RNS Number: 0280E), that
incorrectly stated that the ordinary shares of £0.01 will be sub-divided into
one ordinary share of £0.0005. The ordinary shares of £0.01 will in fact be
sub-divided into one ordinary share of £0.005.

The corrected Notice of AGM will shortly be available at
https://imagingbiometrics.com/ (https://imagingbiometrics.com/) . All other
resolutions have not been amended.

The corrected announcement reads:

Imaging Biometrics Limited, the Main Market listed healthcare technology
group, is pleased to announce that its Annual General Meeting ("AGM") will be
held at IFC5, St Helier, Jersey, JE1 1ST on 3 June 2026 at 10:00 am.

 

The Notice of AGM includes, inter alia, details of a proposed share
sub-division whereby each current ordinary share of £0.01 will be sub-divided
into one ordinary share of £0.005. The number of ordinary shares in issue
will not change and will remain at 246,709,789 ordinary shares of £0.005,
assuming that the sub-division resolution is passed at the AGM.

 

A form of proxy will accompany the Notice of AGM and the Noice of AGM will
