** The graphite explorer says it has entered into memorandum of understanding with Italian chemical manufacturer ALKEEMIA S.p.A.

** MoU to build a new graphite processing joint venture in Italy

** Nearly 808,725 shares change hands, 2.7x the 30-day average volume

** Stock has fallen 6.5% this year, including session moves
