ITV Long-Term Incentive Plan (the "LTIP")
On 11 May 2017 a director of the Company, Ian Griffiths, was granted an award under the LTIP in the form of a nil-cost option over 705,730 ordinary shares of the Company. 
The number of options that will become exercisable is subject to the achievement of a financial performance gateway and stretching strategic performance conditions on the third anniversary of the date of grant, 11 May 2020. 
Any portion of the award that does not meet the performance conditions will lapse. Any portion of the award that meets the performance conditions will then be subject to a holding period.
