Board Changes                                 

Johnson Matthey Plc announces that Dorothy Thompson CBE, a non-executive
director and Chairman of the Remuneration Committee, will retire from the board
in July 2016 having served as a non-executive director for nine years.

Dorothy was appointed a non-executive director in September 2007 and Chairman
of the Remuneration Committee in July 2014.

Dorothy will retire from the board with effect from the close of Johnson
Matthey Plc's Annual General Meeting on 20th July 2016. A search for a new
non-executive director is underway.

Colin Matthews CBE FREng, a non-executive director, will be appointed as
Chairman of the Remuneration Committee in July 2016.

Tim Stevenson, Chairman of Johnson Matthey, said:
