Directorate changes

 

Kier Group plc ('Kier') announces that Margaret Hassall will retire from the
Kier Board as a Non-Executive Director and as Chair of the Remuneration
Committee on 29 May 2026. Anne Baldock, who joined Kier as a Non-Executive
Director in July 2025, will be appointed as Chair of the Remuneration
Committee with effect from 30 May 2026.

Matthew Lester, Chair of Kier said: "On behalf of the Board, I would like to
thank Margaret for her dedicated service. Margaret's insight and leadership,
particularly in strengthening our remuneration framework, have made a lasting
and positive contribution to Kier. I wish her well in the future."

"We are delighted to have Anne succeed Margaret as Chair of the Remuneration
Committee. Anne has been a member for the Remuneration Committee since joining
and is a serving Chair of the Remuneration Committee of Pantheon
Infrastructure plc."
