Macquarie fund to buy stakes in South Korea's Gabia, KINX
Macquarie fund to buy stakes in South Korea's Gabia, KINX Oct 28 - Australia’s Macquarie MQG.AX said on Wednesday its investment arm has agreed to buy stakes in South Korea’s Gabia 079940.KQ and KINX 093320.KQ from their major shareholders at 53,000 won and 190,000 won per share, respectively, with the total value undisclosed.
The buyer is Macquarie Asia-Pacific Infrastructure Fund 4, a fund managed by Macquarie Asset Management.
Here are more details:
Under the deal, Macquarie plans to acquire the entire shareholdings held by Gabia management, Align Partners, Miri Capital and Gumshoe Capital in the two companies
Gabia last traded at 50,500 won per share, while KINX shares were last seen at 156,600 won on Wednesday
The deal aims to simplify the ownership and governance structure of internet infrastructure service providers Gabia and KINX and support their next phase of growth, Macquarie said
The deal will address the current dual-listed structure and is expected to create a clearer ownership framework and more efficient decision-making
Gabia’s management has also agreed to reinvest part of its shares in the acquiring special purpose company (SPC) through an in-kind contribution
Once it receives required regulatory approvals and meets certain conditions, the SPC plans to make tender offers for the remaining shares of both Gabia and KINX at the same prices, giving minority shareholders the chance to sell on the same terms
This proposed deal follows Macquarie's push into South Korea with the latest $410 million investment in March to develop a next-generation hyperscale data centre platform in the country, with Gabia managing end-to-end service operations such as data centre design
Gabia and KINX did not immediately respond to a Reuters request for comment on the deal
