Brief: Zetkama unit buys 78.38 pct of Masterform

Aug 26 (Reuters) - Zetkama SA  ZKA.WA : 
    * Its unit, Masterform Grupa Zetkama Sp. z o.o. buys 
11,040,938 shares of Masterform SA for 19.9 million zlotys ($5.4 
million) from BR Capital Sp. z o.o.  
    * The unit also acquires 5,865,310 shares of Masterform from 
minority shareholders for 10.6 million zlotys 
    * Following the transactions, Masterform Grupa Zetkama holds 
78.38 percent of Masterform SA 
    * Masterform Grupa Zetkama is a special purpose vehicle set 
up to undertake the acquisition 
    * Under the investment agreement parties intend that 
Masterform Grupa Zetkama sp. z o.o. will hold 80 percent stake 
in Masterform SA and BR Capital sp. z o.o. will hold  20 percent 
stake and subsequently merge Masterform Grupa Zetkama sp. z o.o. 
and Masterform SA 
    * The acquisition was financed by Masterform Grupa Zetkama  
from the company's funds (15.8 mln zlotys) and a 3.8 million 
euro ($4.4 million) loan received from ING Bank Slaski SA
