transfer agreement, to buy 517,000 shares (a 100 percent stake) 
in the Italia-bsaed firm La Meccanica Costruzione Tessili-S.P.A 
, which is mainly engaged in digital printer devices related 
business 
    * Says transaction amount is undisclosed and transaction 
date is Oct. 31
