MS INTERNATIONAL plc

(the "Company")

 

Grant of Options and

Director/PDMR Shareholdings

The Company announces that on 13 April 2026, it granted options over a total
of 220,000 ordinary shares of 10 pence each in the capital of the Company
("Ordinary Shares") to certain employees exerciseable at a price of £13.70,
being the share price at the time of grant (the "Options"), pursuant to the
Company Share Option Plan ("CSOP"). This included a grant of 35,000 Options to
Mrs Shelley Ashcroft, Finance Director, and 50,000 Options to Mr John Meldrum,
Executive Director. The Options will vest as to one third on each of the
third, fourth and fifth anniversaries of the award date. Vested options will
expire if they have not been exercised after ten years from the date of grant.

Following the grants, options over 703,717 Ordinary Shares are in issue,
representing approximately 4.28% of the Company's issued share capital
(excluding Ordinary Shares held in treasury).
