CHANGE OF AUDITOR
N Brown Group Plc (the"Company") announces that the Board has recommended the appointment of KPMG LLP ("KPMG") as Auditor for the financial year commencing 1 March 2015. The appointment is subject to shareholder approval at the 2015 Annual General Meeting to be held in July.
Ron Mc Millan, Chairman of the Audit Committee, said: 
"We thank Deloitte for their contribution as the Company's Auditor and look forward to working with KPMG".
Notes to the Editors
In the 2014 Annual Report the Audit Committee confirmed that it would review the appointment of Deloitte as the Company's auditor in the coming year. Following that review it was agreed that the Company should undertake a tender process to be overseen by a selection panel. As part of the tender process a number of firms were approached and from this a short list was selected. Deloitte were not invited to tender due to the longevity of their appointment, having been the Company's auditor for 13 years. Following presentations from the short listed firms the Audit Committee recommended to the Board that KPMG be appointed as the Company Auditors.
There are no matters in connection with Deloitte's resignation as auditors which, in the view of the Board, need to be brought to the attention of shareholders.
