N Brown Group plc
(the "Company")
Director/PDMR and PCA shareholding notification
The Company has been notified of a number of transactions which took place on
11 November 2022 whereby:
1) security previously granted to the Royal Bank of Scotland over
21,242,145 ordinary shares in the capital of the Company, which are owned by
Lord David Alliance of Manchester CBE ("Lord Alliance"), has been released.
(See Table 1 below).
2) security previously granted to the Royal Bank of Scotland over
468,210 ordinary shares in the capital of the Company, which are owned by The
Anglo-Eastern Trust Limited (a person closely associated ("PCA") with Lord
Alliance), has been released. (See Table 2 below).
3) security previously granted to the Royal Bank of Scotland over
6,169,889 ordinary shares in the capital of the Company, which are owned by
Northern Counties Securities Limited (a PCA with Lord Alliance), has been
released. (See Table 3 below).
4) security previously granted to the Royal Bank of Scotland over
1,275,714 ordinary shares in the capital of the Company, which are owned by
the Alliance Family Foundation Limited (a PCA with Lord Alliance), has been
released. (See Table 4 below).
Taken together, these transactions result in a reduction of the number of
ordinary shares pledged to banks within Lord Alliance's direct and indirect
interests from 6.33% to 0.00% of the capital of the Company.
These transactions do not result in a change to the total direct and indirect
interests of Lord Alliance in the voting rights and issued share capital of
the Company.
This announcement is made in accordance with the UK Market Abuse Regulation.
