Emerging battery materials producer, Neometals Ltd (ASX: NMT / AIM: NMT)
("Neometals" or "the Company") notifies dealings in the Company's ordinary
shares by certain directors and persons discharging managerial
responsibilities ("PDMRs").
Exercise of Performance Rights
On 24 November 2023, a total of 5,494,032 vested performance rights
("Performance Rights") issued pursuant to the Company's Performance Rights
Plan ("PRP"), as approved by shareholders on 25 November 2020, were exercised
by certain employees of the Company, including certain directors and PDMRs.
For each Performance Right that was exercised, the individuals were allocated
one fully paid ordinary share in the Company. In accordance with the terms of
the PRP, the shares were allocated for nil cash consideration. Accordingly,
the Company has issued 5,494,032 new ordinary shares ("New Ordinary Shares")
2,209,222 to directors and PDMRs and 3,284,810 to employees and consultants.
The resultant interests of the relevant directors and PDMRs in the share
capital of the Company are as follows:

As a result of the exercise of vested Performance Rights pursuant to the
Company's PRP, the Company has the following securities on issue:
· 606,182,208 fully paid ordinary shares.
· 8,972,542 performance rights on issue pursuant to the terms of the
PRP, comprising:
o 200,000vested performance rights, which remain subject to exercise; and
o 8,772,542 unvested performance rights, which are subject to performance
testing in accordance with their terms of issue.
Application will be made for the admission of the New Ordinary Shares to
trading on AIM ("Admission"). The New Ordinary Shares will rank pari passu
with the existing ordinary shares and it is expected that Admission will
become effective on or around 8.00 a.m. on 1 December 2023.
Following Admission, the above figure of 606,182,208 ordinary shares on issue
may be used by shareholders as the denominator for calculations when
determining if they are required to notify their interest in, or a change to
their interest in, the Company under the FCA's Disclosure Guidance and
Transparency Rules. This number assumes admission of New Shares as part of the
Placement as announced on 23 November 2023.
Disposal of Ordinary Shares
On 24 November 2023, the Company was notified that Jason Carone, CFO of
Neometals, sold a total of 129,306 ordinary shares in the Company at a price
of A$0.21 each in order to assist in meeting tax instalments due as a result
of the vesting of PRs and subsequent issue of shares in prior years. Following
the exercise of the Performance Rights and the subsequent disposal, Mr Carone
is interested in 1,170,000 ordinary shares, representing 0.19 per cent. of the
issued share capital of the Company.
