Update re. Response to Shareholder Letter
Newmark Security plc (AIM: NWT), a leading provider of electronic and physical
security systems, provides an update to its announcement on 8 October 2025, in
relation to the open letter issued by Thalassa Holdings Ltd. ("Thalassa"), a
21.3% shareholder in the Company.
Since issuing its response, the Company has had a positive dialogue with
Thalassa and has listened to its feedback. The Company and Thalassa are
aligned in the view that the Board can be strengthened as well as making other
changes to help deliver future shareholder value.
As part of its efforts to strengthen the Board composition, the Company
confirms that it will appoint two new independent non-executive directors,
with the search process already underway. Once appointed, the new independent
directors will also join the remuneration committee, which, aligned with
shareholder feedback, will only consist of independent directors thereafter.
Consequently, Maurice Dwek will step off the remuneration committee once the
appointments are made.
In conjunction with the Board changes, Michel Rapoport, Non-Executive
Director, will step down from the Board on the appointment of the new
independent directors. Michel has been on the Board of Newmark since 2001 and
has provided invaluable counsel through numerous economic cycles and major
changes in the business.
Maurice Dwek, Chairman of Newmark, commented: "We have always sought to have

the feedback we have recently received from Thalassa and are now moving
forward in a positive manner. We look forward to providing updates on the new
Board appointments in the near future.
