* Says the co plans to buy 127,963 shares (97.1 percent
stake) in Graphic Controls Holdings, Inc.(including Graphic
Controls Acquisition Corp which is the business firm affiliated
with Graphic Controls) via co's unit Nissha Medical
International, Inc. for $138 million
* Says the co to hold a 97.1 percent stake in Graphic
Controls up from 0 percent
* Says transaction effective in late-Aug.
