Result of General Meeting

Completion of Capital Reorganisation

 

Oracle Power PLC (AIM:ORCP) is pleased to announce that at its general meeting
held earlier today, all resolutions were duly passed.

 

As a result of the resolutions having been passed, shareholders have approved
the Capital Reorganisation. At the Record Date of 6.00 p.m. today, each
Existing Ordinary Share of 0.1 pence in the capital of the Company will be
subdivided into one New Ordinary Share of 0.001 pence and one Deferred Share
of 0.099 pence each. The New Ordinary Shares created upon implementation of
the Capital Reorganisation will have the same rights as the Existing Ordinary
Shares including voting, dividend, return of capital and other rights.

 

Admission and Total Voting Rights

Application has been made for the New Ordinary Shares and the Placing Shares
to be admitted to trading on AIM ("Admission"). It is expected that Admission
will become effective in respect of the New Ordinary Shares at 8.00 a.m. on or
around 24 October 2023, and that Admission will become effective in respect of
the Placing Shares at 8.00 a.m. on or around 27 October 2023. The Placing
Shares and the New Ordinary Shares will have the same ISIN number and SEDOL
code as each existing ordinary share. The Placing Shares will rank pari passu
with the New Ordinary Shares.

 

On Admission of the New Ordinary Shares, the total issued ordinary share
capital of the Company will be 3,735,415,387 New Ordinary Shares, with no
shares held in Treasury. On Admission of the Placing Shares, the total
ordinary issued share capital of the Company will be 4,735,415,387 New
Ordinary Shares, with no shares held in Treasury. Therefore, the total voting
rights in the Company following Admission of both the New Ordinary Shares and
the Placing Shares will be 4,735,415,387 and this figure may be used by
shareholders in the Company as the denominator for the calculations by which
they will determine if they are required to notify their interest in, or a
change in their interest in, the share capital of the Company under the FCA's
Disclosure Guidance and Transparency Rules.

 

Unless otherwise defined, capitalised terms used in this announcement shall
have the same meanings as those ascribed to them in the Company's circular to
shareholders dated 5 October 2023.
