Brief: Orzel Bialy signs agreement with NEF Battery Holdings to help finance share buy back

Jan 23 (Reuters) - Orzel Bialy SA (Orzel Bialy)  OBL.WA : 
    * Says that it signs an agreement with its majority 
shareholder NEF Battery Holdings Sarl (NEF Battery Holdings) 
concerning terms of cooperation in the acquisition of shares of 
the company and support for the company with financing share buy 
back 
    * The company to announce tender offer for all remaining 
shares of the company representing 39.45 pct stake  
    * The price for one share is set at 8.65 zloty ($2.13) 
    * Orzel Bialy to buy shares in the first place but in the 
number of no more than 4.2 million shares  
    * NEF Battery Holdings to acquire remaining shares under 
tender offer (more than 4.2 million shares)
