           NOTICE OF ANNUAL GENERAL MEETING AND NO CHANGE STATEMENT            

Notice is hereby given that Pan African's annual general meeting ("AGM") of
shareholders will be held at the offices of Numis Securities Limited, The
London Stock Exchange Building, 10 Paternoster Square, London, EC4M 7LT on
Friday, 27 November 2015 at 14:00 (all times stated are United Kingdom times
unless otherwise stated).  Please note that as the AGM will be held at The
London Stock Exchange all attendees will be required to show ID in order to
gain entry.

The notice of AGM and integrated annual report are being distributed to
shareholders today, 30 October 2015.

Shareholders are advised that the notice of AGM and the full integrated annual
report, including the annual financial statements for the year ended 30 June
2015, will be available on the Company's website at www.panafricanresources.com
from today and that the salient dividend dates will be notified to shareholders
on the same day as the AGM.

The annual financial statements for the year ended 30 June 2015 contain no
modifications to the audited results as released on SENS on 16 September 2015.
