Further extension of PUSU deadline

On 24 April 2025, the Board of Pod Point announced that it had received a
non-binding conditional proposal from EDF Energy Customers Limited ("EDF"),
currently a c.53 % shareholder in the Company, to acquire the entire issued
and to be issued share capital of the Company that it does not already own for
a price of 6.5 pence per Pod Point share in cash (the "Possible Offer").

In accordance with Rule 2.6(a) of the Code, EDF was required, by no later than
5:00 p.m. on 22 May 2025, to either announce a firm intention to make an offer
for Pod Point in accordance with Rule 2.7 of the Code or announce that it does
not intend to make an offer.

On 22 May 2025, to allow discussions with EDF to continue, and to provide
further time for the Company to finalise and publish its audited FY24 Results,
that deadline was extended with the consent of the Panel on Takeovers and
Mergers (the "Takeover Panel"), to 5.00 p.m. on 6 June 2025 (the "PUSU
Deadline").

The independent directors of Pod Point (being all of the directors apart from
Rob Guyler, who is a representative of EDF) have carefully considered the
Possible Offer with its advisers and have confirmed to EDF that, should a firm
offer be made on the financial terms set out herein, they are minded to
unanimously recommend such offer to Pod Point shareholders, and (in respect of
those directors who are Pod Point shareholders) provide irrevocable
undertakings to vote in favour of (or if applicable, accept) the offer,
subject to the agreement of other customary terms and conditions.

Discussions between the parties remain ongoing and, in order to allow
additional time for the Company to finalise and publish its audited FY24
Results, the Company has requested, and both EDF and the Takeover Panel have
consented to, an extension of the PUSU Deadline. Consequently, in accordance
with Rule 2.6(c) of the Code, EDF is now required, by not later than 5.00 pm
(London time) on 12 June 2025 (the "Revised PUSU Deadline"), to either
announce a firm intention to make an offer for Pod Point in accordance with
Rule 2.7 of the Code or announce that it does not intend to make an offer for
Pod Point, in which case the announcement will be treated as a statement to
which Rule 2.8 of the Code applies.

In accordance with Rule 2.6(c) of the Code, the Revised PUSU Deadline may be
extended further with the consent of the Takeover Panel.

In accordance with Rule 2.5 of the Code, EDF reserves the right to vary the
form and/or mix of the consideration described in this announcement. EDF also
reserves the right to make an offer for Pod Point on less favourable terms
than those described in this announcement: (i) with the agreement or
recommendation of the Board of Pod Point; (ii) if a third party announces a
firm intention to make an offer for Pod Point on less favourable terms; or
(iii) following the announcement by Pod Point of a Rule 9 waiver transaction
pursuant to Appendix 1 of the Code or a reverse takeover (as defined in the
Code). EDF reserves the right to reduce the consideration by the amount of any
dividend or other distribution or return of capital which is paid or becomes
payable by Pod Point to Pod Point shareholders after the date of this
announcement.

There can be no certainty that any firm offer will be made for the Company.

The Company remains in an 'offer period' in accordance with the rules of the
Code and the attention of Pod Point shareholders is drawn to the continuing
disclosure requirements of Rule 8 of the Code, which are summarised below.

Further announcements will be made in due course. In the meantime, Pod Point
shareholders are not required to take any action in relation to the Possible
Offer.
