("PPHC", the "Group" or the "Company")

Vesting of RSUs, Issue of Shares and TVR

Public Policy Holding Company, Inc., a leading global strategic communications provider offering a comprehensive range of advisory services in the areas of government relations, corporate communications and public affairs, announces that it has issued 43,337 new common shares of par value $0.001 each (the "Common Shares"). These new Common Shares have been issued in connection with the vesting of restricted stock units ("RSUs") previously granted to a subset of employees, as announced on 6 October 2023, including certain directors and senior employees of the Company who are persons discharging managerial responsibilities ("PDMRs"). The RSUs have vested in accordance with their terms, with one-third vesting annually.

Application will be made for the new Common Shares, which will rank pari passu with the existing Common Shares in issue, to be admitted to trading on AIM. Dealings are expected to commence on or around 3 November 2025.

 

Following this issue of shares, the Company's total issued and voting share capital upon admission will consist of 25,178,116 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
