Vesting of RSUs, Issue of Shares and TVR
 
Public Policy Holding Company, Inc., a leading global provider of strategic communications services, announces that it has issued 254,017 new Common Shares of $0.001 each (the "Common Shares"). These new Common Shares have been issued in connection with the vesting of restricted stock units ("RSUs") previously granted to a subset of employees, as announced on 24 May 2023 and 19 June 2025, including certain directors and senior employees of the Company who are persons discharging managerial responsibilities ("PDMRs"). The RSUs have vested in accordance with their terms, with one-third vesting annually. Individual PDMR shareholdings and RSU awards reflect the Company's October 2025 Reverse Share Split and ordinary course adjustments to RSU awards.
Application will be made for the new Common shares, which will rank pari passu with the existing Common Shares in issue, to be admitted to trading on AIM. Dealings are expected to commence on or around 15 June 2026.
Following this issue of shares, the Company's total issued and voting share capital upon admission will consist of 29,603,209 Common Shares. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, securities of the Company.
