. The Special Meeting of Shareholders will be held at the offices of the
Company, 800 North Capitol Street, N.W., Washington, DC 20002, United States,
on 29 September 2025 at 10:00 A.M. EDT.

 

As further explained in the Notice of Special Meeting of Shareholders, in
connection with, and to facilitate, the Company's anticipated listing on the
Global Market of the Nasdaq Stock Market LLC ("Nasdaq"), the Board has adopted
resolutions declaring advisable and recommending to the Company's stockholders
for their approval, certain amendments to the Company's certificate of
incorporation, including (i) to eliminate shareholder pre-emption rights in
connection with any issuance of new shares or certain other convertible or
option securities by the Company in order to better align with likely US
market expectations regarding such rights; (ii) with effect from the
completion of the anticipated US listing, termination of the mandatory
takeover offer provisions in order again to better align with likely US market
expectations; and (iii) to effect a reverse stock split (the "Reverse Stock
Split") in a ratio between one (1) for three (3) and  one (1) for eight (8),
the actual ratio (the "Reverse Split Ratio") to be selected by the Board, or a
pricing committee of the Board, prior to completion of our listing on Nasdaq
based on market conditions and the advice of the Company's financial advisors.

 

As outlined in more detail in the Notice, no fractional shares would be issued
in the Reverse Stock Split, but each fractional share of Common Stock would be
rounded up to the nearest whole share of Common Stock. The authorized number
of shares, and par value per share, of Common Stock would not be affected by
the Reverse Stock Split. Finally, if the Reverse Stock Split is effectuated,
it is expected that the current ISIN in relation to the existing Common Stock
will be disabled and marked for expiry in CREST after market close on 1
October 2025 and that a new ISIN (US7444302084) will come into effect at 8:00
a.m. BST on 2 October 2025.
