("the Company" or "Raspberry Pi")
Grant of LTIP
Raspberry Pi (LSE: RPI), a leader in high-performance, low-cost computing,
announces the grant of awards to PDMRs under the Company's Long-Term Incentive
Plan (the "LTIP") as detailed below.
Awards over a total of 712,119 ordinary shares in the company have been
granted to PDMRs as set out below. These are in the form of options over
shares with a nominal value exercise price of £0.0025 per share (the "LTIP
Awards").
The vesting of the LTIP Awards is subject to continued employment and the
satisfaction of performance conditions assessed over the three financial years
ending 31 December 2028.
The LTIP Awards are expected to vest on 14 April 2029. The LTIP Award granted
to Eben Upton (CEO) is subject to a two-year holding period after vesting,
following the expiration of which they may be exercised. The LTIP Awards
granted to other participants may be exercised from the point of vesting.

Share awards to the CEO (Eben Upton) and the other members of senior
management are significantly within our dilution limits headroom. For the
executive directors they are also in line with our proposed remuneration
policy. Awards have been calculated using a 90-calendar day average share
price of £3.426 and have a value of £955k for the CEO and £743k each for
the two other PDMRs.
