Results of Annual General Meeting (AGM)

 

The AGM of Reach plc (the Company) was held today at 11:00 a.m. at Deutsche
Numis' Offices, 45 Gresham St, London, EC2V 7BF.

 

All valid proxy votes (whether submitted electronically or in hard copy form)
were included in the poll taken at the meeting. Save for resolution 5, which
was not put to the meeting, resolutions 1 to 15 and 19 and 21 were passed as
ordinary resolutions and resolutions 16 to 18 and 20 were passed as special
resolutions. The results of the poll are set out below.

Notes:

 

1.   A "vote withheld" is not a vote in law and is not counted in the
calculation of the proportion of the votes "for" and "against" a resolution.

2.   The issued share capital figure used to calculate the percentage voted
is 318,336,301. This is the figure as at the close of business on 30 April
2025 and excludes the number of ordinary shares held in treasury at that date.

3.   As announced on 31 March 2025, Jim Mullen stepped down from his role as
Chief Executive and director of the Company with immediate effect, with the
consequence that the resolution to re-elect Jim Mullen as a director of the
Company included as resolution 5 in the Notice of AGM was to be withdrawn. At
the same time, it was also announced that Piers North had been appointed as
Chief Executive and director of the Company and an additional resolution was
proposed as resolution 21 in the Supplement to the Notice of AGM, to elect
Piers North as a director of the Company.

 

 

In accordance with UK Listing Rule 6.4.13 of the UK Financial Conduct
Authority (FCA), a copy of the resolutions passed as Special Business at the
AGM have been submitted to the UK Listing Authority and will be available for
public inspection at the National Storage Mechanism (NSM)
