Total Voting Rights
 
Rockfire Resources plc (LON: ROCK), the gold and base-metal exploration company, announces it has made application to the London Stock Exchange for the admission to trading on AIM ("Admission") of 3,333,333 new ordinary shares of 0.1p each in the Company ("New Ordinary Shares"). The New Ordinary Shares are being issued pursuant to the exercise of warrants to subscribe for Ordinary Shares. The New Ordinary Shares will rank pari passu in all respects with the Company's existing ordinary shares and Admission is expected to become effective on 5 August 2020.
Total Voting Rights
As at today's date, the Company's issued share capital comprises 752,276,544 ordinary shares with one voting right each. The Company does not hold any ordinary shares in treasury. Therefore, the total number of ordinary shares and voting rights in the Company as at today's date is 752,276,544.
On Admission, the issued share capital of the Company will consist of 755,609,877 Ordinary Shares, with one voting right per share. As the Company does not hold any Ordinary Shares in treasury, the total number of Ordinary Shares and voting rights in the Company will be 755,609,877. From Admission, this figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure Guidance and Transparency Rules.
As announced on by the Company on 29 July 2020, a further 64,620,000 ordinary shares are expected to be admitted to trading on AIM on 12 August 2020, pursuant to the placing.
