Board Changes
Rome Resources (AIM: RMR), the DRC-focused tin and copper
explorer, announces that Mr. Edouard Etienvre and Mr. Marc Mathenz have
resigned as non-executive directors of the Company with immediate effect.
On 3 September 2025, the Company announced the proposed appointment of
Stephane Mutombo Irung as a non-executive director to the board of directors
of Rome (the "Board" or the "Directors"). In addition to the proposed
appointment of Mr. Irung, the process to recruit an additional non-executive
director to the Board has commenced and a further update will be issued when
appropriate.
Under the AIM Rules for Companies and AIM Rules for Nominated Advisers, the
Company's Nominated Adviser is required to undertake a director due diligence
process to satisfy itself as to board composition, independence, suitability
and the efficacy of the board as a whole in relation to any potential board
changes for the purposes of the AIM Rules for Nominated Advisers, with a view
to determining that the Company is suitable to be a Company with shares
admitted to trading on AIM. Any appointment to the Board is subject to the
approval from the Company's nominated adviser.
Mr. Etienvre and Mr. Mathenz are to be paid the sums due to them under their
contractual notice periods and will retain the warrants over new ordinary
shares previously granted to them. Mr. Etienvre and Mr. Mathenz will
continue to benefit from the Company's directors' and officers' insurance
policy for a period of five years hereon and have also agreed, among other
things, a mutual waiver of claims with the Company.
