S4 Capital plc ("S(4)Capital" or the "Company")

Issue of Shares

On 17 September 2021, S(4)Capital plc (SFOR.L) announced a merger with Zemoga,
a leading digital transformation services firm specialising in providing
product design, engineering and delivery services to enterprise clients across
multiple verticals (the "Zemoga Transaction"). Pursuant to the terms of the
Zemoga Transaction, the Company has agreed to issue 3,802,397 ordinary shares
of 25 pence each in the capital of the Company, credited as fully paid, as
deferred consideration to the seller (the "Zemoga Shares"). The Zemoga Shares
will be subject to a restriction on sale until 13 July 2024.

On 25 March 2021, the Company announced the conditional merger of Jam3, an
award-winning Toronto-based design and experience agency, with Media.Monks
(the "Jam3 Transaction"). Pursuant to the terms of the Jam3 Transaction, the
Company has agreed to issue 1,182,859 ordinary shares of 25 pence each in the
capital of the Company, credited as fully paid, as deferred consideration to
the sellers (the "Jam3 Shares"). The Jam3 Shares will be subject to a
restriction on sale until 13 July 2024.

Two separate applications have been made to the FCA and to the London Stock
Exchange for the Zemoga Shares and the Jam3 Shares to be admitted to the
standard segment of the Official List of the FCA and to trading on the London
Stock Exchange's Main Market for listed securities respectively ("Admission").
It is expected that Admission will become effective at 8.00 a.m. on 13 July
2022.
