  Announcement of the Chairman's Resignation

 

The Board of Directors of SDIC Power Holdings Co., Ltd. (hereinafter referred
to as "the Company" or "SDIC Power") recently received a letter of resignation
from Mr. Zhu Jiwei, Chairman of the Company. Due to work adjustments, Mr. Zhu
Jiwei plans to resign from his position as a director of the Company and will
no longer serve as the Chairman of the Board, the Chairman of the Strategy
Committee and the legal representative of the Company. Mr. Zhu Jiwei confirms
that he has no disagreement with the Board of Directors of the Company and
that there is no need to bring any matters to the attention of the
shareholders and creditors of the Company.

According to the Rules Governing the Listing of Stocks on Shanghai Stock
Exchange, the Articles of Association and other relevant regulations, his
resignation will take effect upon delivery to the Board of Directors of the
Company and will not affect the normal performance of related work of the
Company.

The Board of Directors recognizes the work done by Mr. Zhu Jiwei during his
tenure, highly commends his contributions to the Company's development over
the years, and expresses sincere gratitude to him.

According to the Company Law, Articles of Association, Rules Governing the
Listing of Stocks on Shanghai Stock Exchange and other relevant regulations,
Mr. Guo Xuyuan is recommended by the controlling shareholders of the Company
as a candidate for director. The Company will elect a new director and
Chairman of the Board of Directors and adjust members of special committees of
the Board of Directors as per legal procedures as soon as possible. In view of
that the election of a new chairman has not yet gone through corresponding
legal procedures, Mr. Zhu Jiwei is still the Company's legal representative at
present and will continue to perform his duties until the new chairman takes
office.
