** Cyprus-based oil and gas company Energy Holdings ENH.OL has agreed to buy deepwater drilling contractor Ventura Offshore VTURA.OL to create a larger platform for cash generation, shareholder distribution and growth, the Oslo-listed companies said on Friday.

** Online vehicle auctioneer Copart CPRT.O on Thursday agreed to acquire peer ACV Auctions ACVA.N in an all-cash deal of about $1.9 billion, marking its entry into dealer-to-dealer wholesale remarketing.

** Shell's SHEL.L North American unit said on Thursday it has agreed to sell its interests in a gas-fired power plant complex in Rhode Island to Constellation Energy CEG.O for $715 million, while also expanding into the lucrative U.S. Mid-Atlantic power market.
