Feb 22 (Reuters) - Sekisui House Ltd 1928.T :
* Says it resolved to acquire all equity interests in
Woodside Homes Company, LLC which is engaged in the detached
house business in the United States, to carry out reorganization
of the Company's subsidiaries and second-tier subsidiaries, and
to promptly execute the relevant merger agreements
* Says under the scheme, SH Residential Holdings, LLC a
subsidiary of Sekisui House US Holdings, LLC, which is a wholly
owned subsidiary of the Company, will conduct a merger of Crayon
Special Vehicle-I, LLC, a wholly owned subsidiary of SH
Residential Holdings, LLC and Woodside Homes Company, LLC
(through this merger, Woodside Homes Company, LLC will be the
surviving company)
* Says after the merger, Woodside Homes Company, LLC will
become a wholly owned subsidiary of SH Residential Holdings, LLC
* Says in addition, NORTH AMERICA SEKISUI HOUSE, LLC a
wholly owned subsidiary of the Company will become a wholly
owned subsidiary of Sekisui House US Holdings, LLC
