PDMR Dealing - Acceptance of the Offer from Marlin Bidco Limited 
Further to the announcement on 7 July 2017 that Marlin Bidco Limited's cash offer for the entire issued and to be issued share capital of Shawbrook of 340 pence per Share (the "Offer") has been declared wholly unconditional, the following persons discharging managerial responsibilities and, in certain instances, persons closely associated with them, have accepted the Offer - in each case in respect of their entire shareholding:
 Robin Ashton
 Stephen Pateman;
 Dylan Minto;
 Stephen Johnson;
 Daniel Rushbrook;
 Philip George; and
 Angela Wakelin.
