equity transfer agreement 
    * Upon completion of acquisition, Guangdong Victory will be 
held as to 80% by wuzhou shenguan investment 
    * Pursuant to agreement wuzhou shenguan investment to 
acquire 29% equity interests of guangdong victory for RMB23.9
