RECOMMENDED CASH ACQUISITION

of

SolGold plc ("SolGold")

by

Jiangxi Copper (Hong Kong) Investment Company Limited ("JCHK")

 

to be implemented by means of a scheme of arrangement

under Part 26 of the Companies Act 2006

 

COURT SANCTION OF SCHEME OF ARRANGEMENT

On 24 December 2025, the boards of directors of SolGold and JCHK, for and on
behalf of Jiangxi Copper Company Limited ("JCC"), announced that they had
reached agreement on the terms of a recommended cash offer to be made by JCHK
to acquire the entire issued and to be issued share capital of SolGold (the
"Acquisition"). The Acquisition is being implemented by way of a
court-sanctioned scheme of arrangement under Part 26 of the Companies Act (the
"Scheme"). The scheme document in connection with the Acquisition was
published on 21 January 2026 (the "Scheme Document").

 

On 23 February 2026, the Scheme was approved by the requisite majorities of
Scheme Shareholders at the Court Meeting and the Special Resolution to
implement the Scheme was approved by the requisite majority of SolGold
Shareholders at the General Meeting.

 

SolGold is pleased to announce that the High Court of Justice of England and
Wales has today made an order sanctioning the Scheme under section 899 of the
Companies Act 2006 pursuant to which the Acquisition is being implemented.

 

Next steps

SolGold confirms that the Scheme Record Time for the Scheme will be 6:00 p.m.
on Tuesday 3 March 2026. Scheme Shareholders on the SolGold register at the
Scheme Record Time will, upon the Scheme becoming effective in accordance with
its terms, be entitled to receive consideration as provided for in the Scheme
Document.

 

It is anticipated that the Effective Date of the Scheme will be Wednesday 4
March 2026, when a copy of the Court Order is delivered to the Registrar of
Companies. There has been no change to the expected timetable of principal
events relating to the Scheme that was set out in the appendix to the
announcement dated 23 February 2026.

 

The last day of dealings in, and for registration of transfers of, and
disablement in CREST of, SolGold Shares, is expected to be 3 March 2026, and
trading in SolGold Shares will be suspended on the Main Market of the London
Stock Exchange with effect from the commencement of trading on 4 March 2026.

 

Applications have been made to the FCA and the London Stock Exchange in
relation to the cancellation of the listing of SolGold Shares on the Official
List and cancellation of the admission to trading of SolGold Shares on the
London Stock Exchange's main market for listed securities ("Main Market"),
which are each expected to take place at 7:00 a.m. on 5 March 2026.

 

Further announcements will be made when the Scheme becomes Effective and when
the admission to trading of SolGold Shares has been cancelled on the Main
Market of the London Stock Exchange.
