 ("System1", or "the Company", or "the Group")
 
Directors Dealings, Exercise of Options and Total Voting Rights  
 
The Company announces the following directors' dealings:
 
·    John Kearon, Chief Executive Officer of the Company, has sold 43,000 ordinary shares of 1 pence each ("Ordinary Shares") at a price of 172.50 pence per Ordinary Share; 
·    Stefan Barden, Chief Operating Officer of the Company, purchased 31,000 Ordinary Shares, at a price of 172.50 pence per Ordinary Share; and
·    Chris Willford, Chief Financial Officer of the Company, purchased 12,000 Ordinary Shares at a price of 172.50 pence per Ordinary Share.
 
In addition, an ex employee has exercised share options over 56,568 Ordinary Shares.
A total of 56,568 Ordinary Shares which were previously held in treasury have been utilised to satisfy the exercise of the share options.
 
Following the above, the Company now holds 510,421 Ordinary Shares as treasury shares and its total number of Ordinary Shares with voting rights is now 12,716,352, which may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, System1 Group PLC under the FCA's Disclosure Guidance and Transparency Rules.
 
Following the above directors' dealings: 
 
·    Mr. Kearon holds 2,918,235 Ordinary Shares, representing 22.95 per cent. of the Company's total voting rights;
·    Mr. Barden holds 815,639 Shares, representing 6.41 per cent. of the Company's total voting rights; and 
·    Mr. Willford holds 27,000 Ordinary Shares, representing 0.21 per cent. of the Company's total voting rights.
