Update re 2021 AGM
 
Further to the 13 August 2021 announcement, the board of System1 notes the following regarding the results of the 2021 annual general meeting: 
 
·    the total votes cast at the annual general meeting was approximately 45% of the Company's total voting rights; 
 
·    due to an administrative oversight by intermediaries 2,918,235 shares held by John Kearon, Founder and Executive President, were not voted in line with his instruction at the annual general meeting; and  
 
·    consequently, resolutions 2, 11 and 13 received votes against in excess of 20 per cent. of the System1 shares validly voted at the annual general meeting. 
 
 
 
Graham Blashill, Chairman, contacted a number of the major shareholders regarding these resolutions ahead of the 2021 annual general meeting and sought their feedback before putting the resolutions to vote. The Company takes the relationship with all shareholders seriously and will continue to remain open and engaged in dialogue to further understand their views, including on remuneration matters.
