This is to inform you that pursuant to authority granted by the Shareholders
through Postal Ballot on December 28, 2021, the Nomination and Remuneration
Committee of the Board at its meeting held on April 25, 2023 approved the
grant of 265,175 Performance Share Units ("PSUs") to the eligible employees in
terms of the Tata Consumer Products Limited- Share-based Long Term Incentive
Scheme 2021 ("TCPL-SLTI Scheme 2021") under SEBI (Share Based Employee
Benefits and Sweat Equity) Regulations, 2021.
