Dear Madam, Sirs,
Sub: Disclosure under Regulation 30 of Securities and Exchange Board of India
(Listing Obligations and Disclosure Requirements) Regulations, 2015
Details of the litigation are provided in the table below:
Particulars Details
Brief details of litigation viz. name(s) of the opposing party, court/
tribunal/ agency where litigation is filed, brief details of
dispute/litigation. Opposing party : Stichting Frisse Wind.nu (hereinafter referred to as 'SFW')
Court : District Court North Holland, location Haarlem
Details : On December 19, 2025, SFW served a writ of summons on two
subsidiaries of Tata Steel Limited, viz., Tata Steel Nederland B.V. and Tata
Steel IJmuiden B.V. (collectively referred to as TSN).
The proceedings initiated by SFW concern a collective action under the Dutch
Act on Collective Settlement of Mass Claims (WAMCA). In this action, SFW
states that it is acting on behalf of residents living in the vicinity of TSN.
The proceedings pertain to allegations by SFW, holding TSN liable for alleged
damages caused by TSN's operations in Velsen-Noord (including, most
importantly, emissions of hazardous and/or harmful substances).
TSN is fully prepared to defend against the claim. In our assessment, SFW
faces considerable challenges regarding both admissibility and the merits of
its case.
Although, TSN is yet to receive the exhibits on which SFW intends to rely, TSN
has already identified substantial grounds for defence.
Quantum of claims (if any)
SFW seeks approximately EUR 1.4 billion in compensation on account of
increased susceptibility to various health issues and the loss of enjoyment of
homes, as the average home value in the region demonstrably lags behind that
of comparable regions.
According to TSN, SFW has provided no supporting evidence for the claim,
making it unsubstantiated and speculative. TSN rejects their claims being
without any basis.
According to SFW, the class action is financed by Redbreast Associates N.V.
and Omni Bridgeway S.A, both of which are third party funders.
SFW also published a Dutch Claim Code 2019 'compliance statement', in which it
explains the compensation structure for the financiers [in short: either (i) a
multiple of the financiers' investments or (ii) a percentage of any funds
collected up to a maximum of 25%].
Expected financial implications, if any, due to compensation, penalty
etc./quantum of claims, if any
The proceedings under the WAMCA regime are conducted in two phases:
(a) admissibility, and (b) merits. Each of phase will take approximately 2 to
3 years to conclude.
As the proceedings are initiated under the WAMCA regime, the debate on the
quantum of claims is not expected in the upcoming years.
TSN considers that it has strong arguments to defend against the claims and
will vehemently defend itself against these claims.
Health and a clean-living environment remain key priorities for TSN, as they
do for local residents and stakeholders. Through substantial investments
outlined in Roadmap+, TSN has achieved significant improvements in areas of
concern for the neighbouring community over the past five years. Additionally,
TSN consistently ranks among the leading global blast furnace-based steel
producers in terms of CO(2) efficiency, with performance metrics well below
both European and global averages.
TSN continues to invest and work on initiatives to enhance the healthy living
environment and to reduce impact of operations on the surrounding community in
IJmuiden. TSN values feedback and suggestions regarding all aspects of its
influence on the neighbouring areas and is committed to continuous improvement
beyond legal requirements.
As part of the Green Steel Plan, developed through a Joint Letter of Intent
with the Dutch Government, the Company and TSN have engaged with stakeholders
to define additional targeted measures that extend further beyond legal
requirements.
Alongside decarbonization initiatives intended to promote a healthier living
environment, TSN is dedicated to minimizing its contributions to coarse and
fine particulate matter (PM10) emissions, as well as reducing annual releases
of substances of very high concern, NOx, SO₂, odours, and noise. Through
these initiatives, TSN seeks to enhance the living environment in the IJmond
region. TSN continues to work collaboratively with the local residents and
remains committed to improving the environment standards even further.
Given these efforts, TSN believes that SFW's claim lacks merit.
TSN is committed and will continue to focus on environmental preservation and
addressing community concerns through collaboration with the Government and
other stakeholders towards a sustainable future for all stakeholders.
The Company was examining the documents provided by SFW, was in discussion
with counsels and assessing the potential implications of claim. Accordingly,
this disclosure is being made as of the even date.
This disclosure is being made by the Company in compliance with Regulations 30
and 51 read with Para B of Part A of Schedule III of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements)
Regulations, 2015, as amended, read with related SEBI Circulars issued in this
regard.
