Result of Annual General Meeting

 

The Annual General Meeting ('AGM') of TP ICAP Group plc (the 'Company') was
held on Wednesday 13 May 2026. All resolutions presented at the AGM were put
to the members on a poll and were passed with the requisite majority.
Accordingly, resolutions 1 to 17 were passed as ordinary resolutions and
resolutions 18 to 22 were passed as special resolutions. The full results are
detailed below.

 business on 11 May 2026 was 795,390,932 (including treasury shares). The
 Company held 64,718,849 shares in treasury, which do not carry any voting
 rights. Therefore, the total number of voting rights in the Company as at
 close of business on 11 May 2026 was 730,672,083.
