Notification and public disclosure of transactions by persons discharging managerial responsibilities (PDMRs) and persons closely associated with them
On 30 September 2026, awards over the Company's ordinary shares (Awards) were granted to directors and PDMRs under the rules of the United Utilities Group PLC Long Term Plan 2022 (LTP) and under other share based arrangements.  Awards to executive directors were granted and will vest in accordance with the Company's Directors' Remuneration Policy.  Vesting of the LTP Awards for all participants will be subject to continued employment with the Company (subject to the terms of the LTP) and to the extent to which the performance conditions over the performance period ending on 31 March 2029 have been satisfied as determined by the Remuneration Committee once data has been made available. The measures and targets applicable to the LTP Awards are available on the corporate website. LTP Awards are subject to uplift for dividends paid on record dates occurring between the date of grant and the vesting date of such Awards. All Awards were granted at nil cost to the participants, using an average of the five preceding days' middle market price prior to the date of grant. All Awards for the executive directors are subject to holding periods in accordance with the Company's Directors' Remuneration Policy.

1) Grant of a Conditional Award under the United Utilities Group PLC Long Term Plan 2022 to acquire Ordinary Shares of 5 pence each in the capital of United Utilities Group PLC ("Ordinary Shares") for zero consideration. The Conditional Award is subject to a holding period following the vesting date until the fifth anniversary of the date of grant;
2)  Grant of an Award for the financial year commencing 1 April 2026, comprising a right to receive Ordinary Shares for zero consideration, 50% of which vested (rounded down the nearest whole Ordinary Share) immediately as set out in paragraph 3 below amounting to Ordinary Shares with an aggregate value of £217,490, and 50% of which (rounded down the nearest whole Ordinary Share) is expected to vest in February 2027;
3)    Transfer of the beneficial interest in Ordinary Shares by Ocorian Trustee (UK) Limited as the trustee of the United Utilities Employee Share Trust pursuant to the partial vesting of the Award referred to in paragraph 2 above, which Ordinary Shares shall (save as set out in paragraph 4 below) be held in a nominee arrangement for a holding period of two years;
4)   Disposal of Ordinary Shares acquired pursuant to the vesting of the Award referred to in paragraph 2 incorporating the sale of sufficient Ordinary Shares to cover income tax, national insurance liabilities and commission.
