Sub: Strategic Group Reorganization & Press Release.

 

We wish to inform you that the Board of Directors of the Company at its
meeting held today

i.e. February 20, 2026, based on recommendations of the Audit Committee and
Committee of Independent Directors, has approved a Composite Scheme of
Arrangement amongst the Company ("UPL 1"), UPL Sustainable Agri Solutions
Limited ("UPL SAS"), UPL Global Sustainable Agri Solutions Limited ("UPL 2").
The Scheme inter alia provides for the following in the order set out below:

 

(i)    Amalgamation of UPL SAS with and into UPL 1 ("Merger 1");

(ii)   Demerger of the Demerged Undertaking (as defined in the Scheme)
relating to the India Crop Protection Business (as defined in the Scheme) from
UPL 1 to UPL 2 ("Demerger"); and

(iii)   Merger of UPL Cayman, a company incorporated in the Cayman Islands,
with and into UPL 2 ("Merger 2").
