** Capricorn Metals CMM.AX will buy all shares of gold miner Warriedar Resources - joint statement

** Warriedar Resources shareholders will get 1 new Capricorn share for every 62 shares they hold

** Transaction implies deal value of A$0.155/share, a 29% premium to WA8's last closing price

** CMM shares down 2.7%
