Annual Financial Statements & Directorships

We confirm that Eversholt UK Rails (Holding) Limited (Security Group) and
Eversholt Rail Leasing Limited have today published their financial
statements, compliance certificate and investor report for the year ended 31
December 2025.

In addition, the financial statements for Eversholt Funding plc and Eversholt
UK Rails (Holding) Limited (Security Group) can be found on the National
Storage Mechanism.

Furthermore, following the acquisition of Eversholt Rail by Beacon Rail the
following Directorship changes have been made -

 

On 11 December 2025, K P Slaminka was appointed as a director of Eversholt
Rail Limited before resigning on 20 January 2026.

On 20 January 2026, the following were made directors of one or more of the
legal entities within the Group:

 

·    A L Cunliffe

·    C G-F Navarro

·    G A Blackburn

·    K R Howard

·    E Mircica

·    F Dorjee

 

Between 10-20 February 2026, the following resigned as directors of one or
more of the legal entities within the Group

 

·    M B Kenny

·    A J Wesson

·    D Spence

·    L R Warsop

 

On 3 March 2026, P M Sutherland resigned as a director of the relevant legal
entities within the Group.
