** Shares of rare earth magnet company USA Rare Earth USAR.O rise 5.6% to $18.3 premarket

** Co has agreed to acquire United Kingdom-based rare earth metals manufacturer LCM for $100 million in cash and 6.74 million shares of USAR common stock

** Transaction expected to close in the fourth quarter

** USAR also announces Barbara Humpton as its incoming CEO, effective October 1, succeeding Josh Ballard

** As of last close, USAR shares up 50.91% YTD
